1. Acceptance of the Terms of Use
These Terms of Use are entered into by and between you and Pant Saggin LLC, d.b.a. PSD Underwear ("Company," "we," "us," or "our"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Use" or "Terms"), govern your access to and use of psdunderwear.com and our mobile application (collectively, the "Platform"), including all content, functionality, and services offered on or through the Platform, whether as a guest or a registered user.
Please read these Terms carefully before using the Platform. By using the Platform, or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound by these Terms and our Privacy Policy (available at psdunderwear.com/pages/privacy-policy), incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.
The Platform is offered and available to users who are 18 years of age or older and can form a legally binding contract under applicable law. By using the Platform, you represent and warrant that you meet all eligibility requirements.
IMPORTANT — DISPUTE RESOLUTION: SECTION 15 CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER. BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE ALL DISPUTES THROUGH INDIVIDUAL BINDING ARBITRATION AND WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. PLEASE READ SECTION 15 CAREFULLY.
2. Changes to the Terms of Use
We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when posted. Your continued use of the Platform following posting of revised Terms constitutes your acceptance of those changes. You are expected to check this page periodically as changes are binding on you.
3. Accessing the Platform and Account Security
We reserve the right to withdraw or amend the Platform, and any service or material we provide, in our sole discretion and without notice. We may restrict access to some or all parts of the Platform at any time. To access the Platform or certain resources, you may be asked to provide registration details or other information. All information you provide must be correct, current, and complete.
If you are provided with a username, password, or other security credential, you must treat it as confidential. Your account is personal to you. You agree to: (i) notify us immediately of any unauthorized access to your account; (ii) exit your account at the end of each session; and (iii) use particular caution when accessing your account from a public or shared device. We may disable any account credentials at any time in our sole discretion, including for violation of any provision of these Terms.
4. Intellectual Property Rights
The Platform and its entire contents, features, and functionality are owned by the Company, its licensors, or other providers and are protected by United States and international intellectual property laws. These Terms permit you to use the Platform for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any Platform material except for personal, non-commercial purposes as expressly permitted.
The Company name, "PSD," the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without prior written permission.
5. Personal Information and User Accounts
Your use of the Platform may require you to provide personal information, including contact and payment information. Your submission of personal information is governed by our Privacy Policy, which is incorporated by reference. By creating an account you agree to: (i) provide true, accurate, and complete information; (ii) maintain and update your information promptly; (iii) keep your credentials confidential; and (iv) take responsibility for all activity under your account. We may suspend or terminate your account if we have reasonable grounds to believe you have provided false or inaccurate information.
6. Products, Pricing, and Orders
Prices for products are subject to change without notice. We reserve the right to: (i) limit sales to any person, geographic region, or jurisdiction; (ii) limit quantities; (iii) discontinue any product; and (iv) refuse or cancel any order for any reason. We may limit or prohibit orders that appear to be placed by dealers, resellers, or distributors. In the event we cancel an order, we will attempt to notify you using the contact information provided at the time of purchase.
We reserve the right to correct any errors, inaccuracies, or omissions in product descriptions, pricing, or availability, and to change or update information at any time without prior notice, including after an order has been submitted.
WE DO NOT GUARANTEE THE ACCURACY, RELIABILITY, OR COMPLETENESS OF INFORMATION ON THE PLATFORM, INCLUDING PRICES, IMAGES, DESCRIPTIONS, OR AVAILABILITY. WE RESERVE THE RIGHT TO CORRECT ERRORS OR CANCEL ORDERS AT ANY TIME WITHOUT PRIOR NOTICE.
Returns
Products are subject to our Return Policy at psdunderwear.com/pages/returns. Customers in the European Union or United Kingdom have the right to withdraw from or cancel their purchase within fourteen (14) days of delivery without providing a reason. To exercise this right, contact support@psdunderwear.com before the deadline.
7. Billing and Account Information
You agree to provide current, complete, and accurate purchase and account information for all purchases. You agree to promptly update your email address and payment details so that we can complete your transactions and contact you as needed.
8. User Contributions
The Platform may include interactive features that allow users to post, submit, or transmit content or materials ("User Contributions"). All User Contributions must comply with the Content Standards in Section 9. Any User Contribution you post is considered non-confidential and non-proprietary. By providing a User Contribution, you grant the Company a non-exclusive, perpetual, irrevocable, transferable, and sublicensable worldwide license to use, reproduce, modify, display, distribute, and otherwise exploit your submission, with or without attribution. You waive all moral rights therein.
You represent and warrant that you own or control all rights in and to your User Contributions, that they comply with these Terms, and that you are solely responsible for their content. We are not responsible or liable for any User Contributions posted by you or any other user.
9. Content Standards
User Contributions must comply with all applicable laws and must not: contain defamatory, obscene, hateful, or otherwise objectionable material; promote violence or discrimination; infringe any intellectual property or privacy rights; be likely to deceive any person; promote illegal activity; impersonate any person or entity; or involve unauthorized commercial activities. The Company reserves the right to remove any User Contribution that violates these standards or these Terms.
10. Monitoring, Enforcement, and Termination
We have the right to remove or refuse to post any User Contribution, take any action with respect to any User Contribution we deem necessary, disclose your identity to third parties claiming that material you posted violates their rights, refer any illegal or unauthorized use to law enforcement, and terminate or suspend your access to all or part of the Platform for any or no reason. We will cooperate fully with any law enforcement authorities or court order requesting disclosure of the identity of anyone posting materials on or through the Platform.
11. Prohibited Uses
You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to: violate any applicable law or regulation; exploit or harm minors in any way; transmit unsolicited advertising or spam; impersonate any person or entity; use any robot, spider, or automated tool to access or scrape the Platform; introduce malicious code or attempt to interfere with the Platform's security or operation; use the Platform for any commercial purpose other than personal use; or collect personal information about other users without authorization.
12. Text Messaging and Mobile Marketing
With your prior consent, we may send you automated or prerecorded marketing or promotional messages via text message, including cart reminders. You are not required to consent as a condition of purchase. You may revoke consent at any time by texting STOP to 833-410-2094 or emailing support@psdunderwear.com. 13. Third-Party Links and Content
The Platform may contain links to third-party websites, applications, and resources provided for convenience only. We do not endorse and are not responsible for any content, goods, or services on or available from linked sites. You access third-party sites entirely at your own risk. Third-party content and materials on the Platform are solely the responsibility of the person or entity providing them and do not necessarily reflect the Company's opinions.
14. Social Media Features and Linking
You may link to our homepage provided you do so fairly and legally and without suggesting any form of association or endorsement by us without our express consent. You must not cause the Platform to be displayed on any other site via framing, deep linking, or in-line linking. We may disable social media features and links at any time without notice.
15. Governing Law and Dispute Resolution
BY USING THE PLATFORM, YOU AGREE THAT DISPUTES WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.
A. Governing Law
These Terms are governed by the internal laws of the State of California, without giving effect to any conflict of law provisions.
B. Pre-Arbitration Dispute Resolution
Before initiating arbitration, the parties agree to first attempt informal resolution. Either party must send a written Notice to the other describing the dispute and the relief sought. The Company's Notice address is legal@psdunderwear.com. The parties will work in good faith to resolve the dispute for thirty (30) days after the Notice is received.
C. Binding Arbitration
Unresolved disputes shall be settled by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures, conducted by a single arbitrator in Orange County, California, or by video conference at the claimant's election. This applies to all claims arising out of or related to these Terms, the Platform, or the Services, regardless of legal theory. The arbitrator may award the same damages and relief a court could award.
D. Exceptions to Arbitration
Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent infringement of intellectual property rights, or bring an individual action in small claims court. If a dispute is held not to be arbitrable, each party consents to the exclusive jurisdiction of the state or federal courts in Orange County, California.
E. No Class Actions
ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING. If this class action waiver is found unenforceable, the remainder of Section 15 shall also be unenforceable.
F. Limitation on Time to File Claims
ANY CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER IT ACCRUES; OTHERWISE IT IS PERMANENTLY BARRED.
16. Disclaimer of Warranties
THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
17. Limitation on Liability
TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE PLATFORM. THE COMPANY'S AGGREGATE LIABILITY IS LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) $100.00.
The limitation above does not apply to liability resulting from the Company's gross negligence or willful misconduct, or to death or bodily injury caused by products purchased through the Platform.
18. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates, licensors, service providers, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) your violation of these Terms; (ii) your use or misuse of the Platform, including your User Contributions; (iii) your violation of any law or rights of any third party; or (iv) any use of the Platform's content or services other than as expressly authorized.
19. Termination
The Company may, in its sole discretion and without prior notice, warn, suspend, or terminate your account for any reason, with or without cause. Upon termination, the Company may retain or delete data associated with your use of the Platform and will have no further obligations to you. You may terminate at any time by discontinuing use of the Platform. Obligations incurred prior to termination survive.
20. PSD Rewards — Loyalty Program Terms
A. Program Overview and Eligibility
PSD Rewards (the "Program") is a loyalty program through which eligible customers earn points on qualifying purchases and unlock tier-based benefits. The Program is offered at the Company's sole discretion. Membership is available to individuals who are 18 years of age or older, are U.S. residents, maintain a valid email address, and hold a PSD Underwear account. The Program is limited to one account per individual. Corporations, associations, or other groups may not participate. The Program is void where prohibited by law.
By enrolling in or continuing to participate in the Program, you confirm that you have read, understood, and agree to these Terms, including this Section 20, and any changes or modifications the Company may make at any time in its sole discretion.
B. Enrollment
Eligible individuals may enroll in PSD Rewards by: (i) creating a PSD Underwear account at psdunderwear.com; (ii) registering through the PSD mobile App; or (iii) automatic enrollment upon completion of a first qualifying purchase where an account is created in connection with that purchase. Only one Program account may be associated with a single email address. You are solely responsible for maintaining accurate account information.
C. Program Tiers
PSD Rewards has four membership tiers determined by qualifying spend within a rolling 12-month calendar year. Tier thresholds and benefits are subject to change at the Company's discretion.

Tier status is evaluated on a rolling 12-month basis. If your qualifying spend falls below a tier threshold, your tier will be adjusted at the next evaluation date.
D. Earning Points
Members earn points on eligible purchases through psdunderwear.com or the PSD App at the earn rate applicable to their current tier, calculated on the net order subtotal after discounts and credited after the order ships. The following are excluded from earning points and do not count toward tier qualification:
- Gift cards and e-gift cards.
- Shipping and handling charges.
- Sales tax and other fees.
- Order protection, extended warranty, or similar add-on charges.
- Purchases through third-party retailers (e.g., Amazon, wholesale partners).
- Purchases made before enrollment in the Program.
- Any portion of an order paid with redeemed points or reward discounts.
Upon first reaching a new tier, members receive a one-time tier entry point bonus: Bronze — 50 points; Silver — 200 points; Gold — 300 points. Tier entry rewards are non-transferable, have no cash value, and will not be re-awarded if a member re-qualifies for a tier they have previously held. The Company may also offer bonus point opportunities for activities such as reviews, referrals, or promotional events, subject to separate terms.
E. Redeeming Points
Points may be redeemed for discount codes applied at checkout on qualifying purchases. The redemption schedule is as follows (100 points = $10.00 in value):

Reward discounts: (i) cannot be combined with any other promotion, discount code, sale pricing, or offer — only one discount may be applied per order; (ii) have no cash value and cannot be transferred, sold, or exchanged; (iii) may not be applied to gift cards, shipping, taxes, fees, or other excluded items; (iv) are single-use and expire as specified at issuance; and (v) require a minimum point balance of 100 points.
F. Points Expiration
Points expire after 12 consecutive months of account inactivity, defined as no qualifying purchases made and no points earned during that period. Points expire at the end of the month in which the 12-month inactivity period concludes. Points also expire immediately upon account termination for any reason, including fraud or abuse. The Company will use reasonable efforts to notify members of impending expiration via the email address on file.
G. Missing Points and Disputes
If you believe a qualifying purchase was not credited to your account, contact Customer Service at support@psdunderwear.com within forty-five (45) days of the purchase date. Include your name, account email, order number, date of purchase, and a description of the issue. Requests submitted after the 45-day window will not be honored. The Company's determination regarding point disputes is final.
H. Program Communications
Unless you have opted out of marketing communications, we may contact you about PSD Rewards via email and App push notifications. You may opt out at any time by following the unsubscribe instructions in any email or adjusting your App notification settings. We may continue to send transactional communications related to your account and Program membership even if you opt out of marketing.
I. Fraud, Abuse, and Account Termination
The Company reserves the right to audit any Program account at any time. Suspected abuse — including purchases for resale, fraudulent returns, use of multiple accounts, or any other activity inconsistent with these Terms — may result in forfeiture of all accumulated points, cancellation of pending rewards, suspension or termination of Program membership, and pursuit of applicable legal remedies. Membership terminated for fraud or abuse results in immediate and automatic forfeiture of all points and rewards with no right of reinstatement. Voluntary cancellation of Program membership also results in forfeiture of any remaining unredeemed points.
J. Program Modification and Termination
The Company reserves the right to change, modify, restrict, suspend, or terminate the Program or any aspect of it at any time, including earn rates, redemption values, tier thresholds, tier benefits, and the list of qualifying or excluded purchases. Material changes will be communicated via the Website, App, or email where practicable. The most current version of these Terms will govern your participation.
K. Notice of Financial Incentive (California Residents)
Under the CCPA/CPRA, PSD Rewards may be considered a "financial incentive" offered in exchange for the collection and retention of personal information, including identifiers such as your name and email address, and commercial information such as your purchase history. Participation is entirely voluntary. You may opt out at any time by canceling your membership as described in Section 20(I). The value of personal information collected through the Program is reasonably related to the cost of providing Program benefits. Please review our California Privacy Notice for more information.
21. Referral Program Terms
A. Overview
PSD Underwear's Referral Program allows eligible PSD Rewards members to refer new customers to the Platform. Both the referring member ("Referrer") and the referred new customer ("Referee") may receive a reward when the Referee completes a qualifying first purchase. The Referral Program is operated at the Company's sole discretion. Active PSD Rewards membership is a prerequisite for participating as a Referrer.
B. Eligibility
To participate as a Referrer, you must be a current PSD Rewards member in good standing, have a valid PSD Underwear account with a confirmed email address, and be 18 years of age or older and a U.S. resident.
To qualify as a Referee, an individual must: (i) be a new customer who has never previously placed an order on the Platform; (ii) not have an existing PSD Underwear account at the time the referral link is used; (iii) complete a qualifying first purchase using the Referrer's unique referral link or code; and (iv) be 18 years of age or older and a U.S. resident. Self-referrals, referrals to household members, and referrals to accounts the Referrer controls are not permitted.
C. How It Works
Eligible Referrers may obtain a unique referral link or code through their PSD Rewards account dashboard. A valid referral is completed when the Referee: (i) accesses the Platform through the Referrer's unique link or code; (ii) creates a new PSD Underwear account; and (iii) completes and pays for a qualifying first purchase (the "Qualifying Referral Purchase"). Rewards are issued after the Qualifying Referral Purchase is confirmed and the return window closes. Rewards will not be issued for orders that are returned, cancelled, or charged back.
D. Rewards
Upon completion of a valid Qualifying Referral Purchase, the Referrer will receive a reward in the form of store credit or a discount code, and the Referee will receive a discount on their qualifying first purchase. Current reward values are displayed in the PSD Rewards account dashboard and on the Referral Program page. The Company may update these values at any time; the value applicable to a given referral is the value in effect when the referral link is first used by the Referee.
Referral rewards: (i) have no cash value and cannot be transferred, sold, or exchanged; (ii) cannot be combined with any other promotion, discount code, sale pricing, or offer — only one discount may be applied per order; (iii) may not be applied to gift cards, shipping, taxes, fees, or other excluded items; and (iv) expire as specified at the time of issuance.
E. Referral Limits
There is currently no set limit on the number of referrals a member may make. The Company reserves the right to impose limits on the number of referrals eligible for a reward in any given period and to do so without prior notice. Any such limits will be communicated on the Website or App when implemented. The Company may investigate or suspend referral activity it determines, in its sole discretion, to be the result of abuse, gaming, bulk distribution, or conduct inconsistent with the spirit of the Program.
F. Prohibited Conduct
The following conduct is strictly prohibited and may result in disqualification of referrals, forfeiture of rewards, and suspension or termination of Program membership: posting referral links on coupon sites, deal forums, or mass distribution channels; purchasing advertising to distribute referral links; creating fake accounts or using automated means to generate referrals; self-referrals or referrals to household members; any misrepresentation about the Company, the Program, or rewards; and any other conduct the Company determines to be fraudulent or abusive.
G. Modification and Termination
The Company may modify, suspend, or terminate the Referral Program at any time and without prior notice. If terminated, the Company will have no obligation to compensate Referrers for pending or completed referrals not yet rewarded, except as required by applicable law.
22. Assignment
The Company may assign these Terms at any time to a subsidiary, parent company, or successor to its business as part of a merger, consolidation, or sale of all or substantially all of its business. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
23. Geographic Restrictions
The Company is based in the United States. We make no claims that the Platform or its content is accessible or appropriate outside of the United States. If you access the Platform from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
24. Entire Agreement and General Provisions
These Terms of Use, together with our Privacy Policy, Cookie Policy, Messaging Terms, and any other policies or operating rules posted by us on the Platform, constitute the entire agreement between you and the Company with respect to your access to and use of the Platform and supersede all prior and contemporaneous agreements.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary so that the remaining provisions remain in full force and effect. The failure of the Company to exercise or enforce any right or provision shall not constitute a waiver. The provisions of Sections 4, 8–11, 15–19, 20(I)–(K), 21(F)–(G), and 24 shall survive any termination of these Terms.
